Establishing a USAT-MAC State Association
The legal/business name of each USA Taekwondo Martial Arts Commission State Associations (USAT-MAC State Associations) will be known (for example) as:
USA Taekwondo Martial Arts Commission – Ohio
(MAC Ohio)
A NEW MAC-State Association shall be formed in the following manner:
1. The USAT-MAC National President will appoint an interim State Association Chairman of the Board/President from among the Commissioners within the State for a term of one (1) year to organize the State Association according to the document entitled STATE TAEKWONDO MARTIAL ARTS COMMISSION GUIDELINES. If a State has no Commissioners, an effort will be made to recruit worthy individuals who are willing to serve in the capacity of Commissioner.
2. Interim State President will accomplish the following (within 60 days)
i. Conduct an official meeting with its Charter Members under the supervision of the USAT-MAC Regional Director to
1. Select a Board of Directors and Officers
2. Appoint Standing Committee Chairpersons
3. Become familiar with the duties, function and annual activities of State Association
4. Record the Minutes
5. Establish the Date, Time and Location of the next meeting
ii. Apply with the Secretary of State for status as “not-for-profit corporation”. That application will include the “standard Statement of Purpose” (attached below)
iii. Apply for a Federal Tax ID # on-line at

3. Begin the work of the State Association. NOTE: Championships, seminars, or events of any kind conducted in the name of, or for the financial gain of, the State Association before the State Association has been in fact established according to the “Guidelines”, shall be conducted as though the State Association were fully established. The establishment of the State Association should be in process and completed within 30 days. No funds can be transferred by the National MAC to the State Association until its official existence is confirmed with an EIN number, a bank account, and a PayPal account.
Standard Statement of Purpose (from the Bylaws of the USAT-MAC, Inc.)
THIRD: The Corporation is formed to support the purposes and efforts of the USA Taekwondo Martial Arts Commission and, therefore, to sponsor and administer the Corporation and its related activities in support of and in furtherance of the purposes of the Corporation which include, but are not limited to the following:
(A) Taekwondo is a dynamic holistic practice for developing fitness and health, skill of mental and physical self-defense, artistic expression and sports (from the grass roots level to the Olympic level), and philosophical and spiritual awareness. The fundamental purpose of the _____________( insert name of state) Taekwondo Martial Arts Commission is to further the development of that practice through education, training, application, and teaching.
(B) In addition, and in support of the same, the Corporation also has the following, related purposes:
(1) Support of the Olympic effort of the United States of America, particularly as it relates to Taekwondo as an Olympic sport, including support and assistance to USA Taekwondo, the National Governing Body for sport Taekwondo in the United States and the USA Taekwondo Marital Arts Commission, from the grass roots level to the international level, including, but not limited to, conducting state Taekwondo championships.
(2 ) Support and supervision of matters relating to belt rank promotion, poomse development and competition at all levels, and such other matters as are necessary to further the Corporation’s efforts to enhance human development through education, training, application, and teaching of Taekwondo.
(3) Restoration of the traditional values of Taekwondo in the United States of America as a vehicle for the development of human character through education, training, application, and teaching of Taekwondo.
(4) Preservation of the history of Taekwondo in the United States of America.
(5) To engage in charitable, scientific, literary, and educational purposes within the meaning of those terms as used in Section 501(c)(3) of the Internal Revenue Code of 1986, and amended (the “Code”).
(6) To make charges for services or products as permitted by law, provided that all net income and property of the Corporation shall be used exclusively for the charitable, scientific, literary, and educational purposes for which the Corporation was created.
(7) To do such other things as may be necessary or advisable directly or indirectly to effectuate the foregoing purposes, including to have and exercise all rights and powers conferred on nonprofit corporations under the laws of __________(insert name of state), or that may be conferred, including the power to contract for, rent, buy or sell personal or real property. However, this Corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purposes of this Corporation; and
(8) To receive and maintain a fund or funds of real or personal property, or both, and, subject to the restrictions and limitations set forth in this Article, to use and apply the whole or any part of the income from these funds and the principal of these funds exclusively for charitable, scientific, literary, or educational purposes either directly or by contributions to organizations that quality as exempt organizations under Section 501(c)(3) of the Code and its Regulations as they now exist or as they may be amended.
No part of the net earnings of the Corporation shall inure to the benefit of any member or Trustee of the Corporation, officer of the Corporation, or any private individual (except that reasonable compensation may be paid for services rendered to or for the Corporation affecting one or more of its purposes), and no member, Trustee or officer of the Corporation, nor any private individual, shall be entitled to share in the distribution of any of the corporate assets on dissolution of the Corporation. No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publication or distribution of statements), any political campaign on behalf of any candidate for public office.
Notwithstanding any other provision of these Amended and Restated Articles, the Corporation shall not conduct or carry on any activities not permitted to be conducted or carried on by an organization exempt under Section 501 (c)(3) of the Code or the Regulations issued pursuant thereto, as they now exist or as they may hereafter be amended, or by an organization contributions to which are deductible under Section 170(c)(2) of the Code and Regulations, as they now exist or as they may hereafter be amended.
On dissolution of the Corporation or the winding up of its affairs, the assets of the Corporation shall be distributed exclusively to charitable, scientific, literary, or educational organizations that would then qualify under the provisions of Section 501 (c)(3) of the Code.
This Corporation is organized pursuant to the __________(insert name of state) Nonprofit Corporation Law and does not contemplate pecuniary gain or profit to its members or Trustees, and is organized for nonprofit purposes.
STATE TAEKWONDO MARTIAL ARTS COMMISSION GUIDELINES
1. State Taekwondo MAC Membership status.
All State Taekwondo Martial Arts Commission members of USAT-MAC must fulfill the requirements of Article I, Section 3(c) of the national bylaws as follows:
1) incorporation under the applicable state, district, or territorial law as a not-for-profit corporation having purposes set forth in the Articles of Incorporation of the Corporation and as stated in Appendix A of the Bylaws;
2) adoption of the standard Statement of Purpose for State Taekwondo Martial Arts Commissions approved by the Corporation and attached to the Bylaws as Appendix A, and adoption of the standard Bylaws for State Martial Arts Commissions promulgated by the Corporation and attached to the Bylaws as Appendix B ;
3) obtaining, not later than the first anniversary of its admission to membership in the Corporation, and maintaining continuously thereafter, tax-exempt status pursuant to Section 501(c)(3) of the Internal Revenue Code (application for Section 501 (c)(3) status shall be made using the application form attached to the Bylaws as Appendix C);
4) compliance with the Articles of Incorporation, Bylaws, Codes of Operations, Rules, and Regulations of the Corporation and the State Taekwondo Martial Arts Commission, and, in the event of notice of non-compliance from the Corporation, a prompt resolution of all instances of non-compliance;
5) application annually to the office of the Corporation for membership on the form required by the Corporation and remittance of any annual membership or other fees required by the Corporation as determined, from time to time, by the National Board of Commissioners;
6) submission with its initial membership application to the Corporation, and thereafter within fifteen (15) days of any request by the Corporation, in such form as required by the Corporation, copies of its Corporate Charter, Articles of Incorporation, Bylaws, Codes of Operation, Rules, Regulations, financial records, meeting minutes, reports of any or all activities, and other records, data, and documentation as may be deemed necessary by the Corporation, in its sole discretion.
7) Submission of, proof of IRC 501(c)(3) status, or, if not available at that time, immediately upon receipt, but in no event later than the time prescribed by the Bylaws; and,
8) submission annually, not less than thirty (30) days prior to the annual meeting of the Corporation, the official records of the State Taekwondo Martial Arts Commission for the preceding year, which shall include minutes of all meetings, an annual audited financial statement prepared by an independent auditor, a thorough report on all State Taekwondo Martial Arts Commission championships of the Corporation and other activities, and such other records, data, and documentation as may be deemed necessary by the Corporation, in its sole discretion.
2. State Taekwondo MAC Bylaws, Members, Board, Officers and Committees.
All State Taekwondo Martial Arts Commission members must use the standard State TMAC bylaws as required by the national bylaws.
The standard state bylaws will define, among other things, individual membership status, the state board of commissioners, the state executive committee, state officers, and standing state committees:
1) Individual members of a state MAC are defined in Article I of the national bylaws (commissioners and associate commissioners, advisory and special commissioners, and instructor members residing within the state).
2) The officers of each state MAC shall be a president, two vice-presidents, one secretary, and one treasurer.
3) The state Executive Committee shall consist of the officers, the Chairman of the Board, the Chair of the Law and Legislation Committee, the Chair of the Technical Committee, and the Chair of the Event Committee. The President shall preside over meetings of the Executive Committee. Each member of the Executive Committee will have one vote.
4) The state Board of Commissioners shall consist of the President, one of the vice-presidents, three Taekwondo dojang/club owners, two Grandmasters, one athlete, and one Independent member with expertise in business/industry.
5) The following will be the standing committees of each state member (pending revisions by the national MAC):
a. Advisory Committee

f. Events Committee
g. Tournament Committee
h. Referee Committee
i. Coach Committee
j. Fund Raising Committee
6) Elections/Selections
a. The Commissioner and Associate Commissioner members of the state MAC will elect the members of the State Board of Commissioners from among the Commissioner and Associate Commissioner Members of the state MAC.
b. The State Board of Commissioners will elect its Chairman of the Board from among its members.
c. The State Board of Commissioners will elect the officers from among the Commissioner and Associate Commissioner members of the state MAC.
d. Standing committee chairs and members will be appointed by the President with the advice and consent of the State Board of Commissioners.

3. USAT Registrations.
1) Each state MAC must register with USAT and USAT-MAC.

2) Each state MAC must register, through its Commissioner, Associate Commissioner, and Instructor members, not less than five (5) Taekwondo clubs with USAT.
3) Each Taekwondo Club registered by state MAC members must register not less than thirty-five individual members with USAT.
These registration requirements will be phased in over time as the state MAC structure is implemented.
4. Annual Planning and Budget Considerations.

e. International Exchange Programs – Tour Korea or Asia or Europe, attend special seminars, etc.
3) Championship and Event Fees
a. State MAC will host USAT State Championships / National Qualifiers from January to end of May of each year to select the USAT State champions and to offer a qualifier for USAT Junior Olympic and Senior Nationals.
b. State Association will pay Sanction Fee to USAT of $200 (or such other amount as may be determined from time to time) and follow all guidelines set by USAT.
c. State MAC will host USAT-MAC State Championships / National Qualifiers from July 15 to the October 15 each year to select the MAC State champions and to offer a qualifier for the USAT-MAC National Championships including Junior Nationals, Senior Nationals and an Open Championship for international competitors in Taekwondo and possibly multiple disciplines.
d. State MAC will pay 10% of gross revenues from all USAT and MAC sanctioned events to MAC national within thirty (30) days of the last day of the event and comply with all event guidelines issued by MAC National.
4) Championship and Event Registration
a. The online registration system provided by the MAC national office will be used for all registrations.
b. Registration fees shall be charged and paid as determined by the MAC national office.
5) Annual Budget
a. Each state MACs shall develop an annual budget plan.
b. The budget plan shall take into account the costs of all state MAC activities including, but not limited to, day-to-day operations, state MAC meetings, appropriate participation in national MAC meetings, state championships, and other state events.
c. The budget plan must be approved by the State Board of Commissioners.
The foregoing are guidelines and are not intended to set forth all of the structure and rules for state MAC members. The USAT Martial Arts Commission is entering a new phase of its growth and development. As we move through this process of finalizing our national bylaws and implementing their requirements, it may become necessary to revise the structure set forth in these Guidelines. Until the standard state bylaws have been finalized, we must all do our best to follow the Guidelines as precisely as possible.
